1. Acceptance of Terms
Welcome to Agenticrew LLC ("Company," "we," "our," or "us"). By accessing or using our website, services, or engaging our consulting services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.
2. Services
Agenticrew LLC is a design and software development consultancy. We provide design, development, consulting, branding, user experience, software development, website development, and related professional services.
Any project scope, deliverables, timelines, fees, and responsibilities will be defined in a separate proposal, statement of work, service agreement, or written communication.
3. Scope Changes
Any request to modify the scope of services, deliverables, features, revisions, timelines, or other project requirements must be approved in writing by both the client and Agenticrew LLC before such changes become effective. Out-of-scope work may result in additional fees, revised timelines, or both.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for project completion.
- Review and approve deliverables in a timely manner.
- Obtain any necessary rights, licenses, or permissions for materials provided to us.
- Comply with all applicable laws and regulations.
Delays caused by the client may result in adjusted project timelines and additional fees.
5. Payments
Fees, payment schedules, and billing terms will be specified in project agreements or invoices.
Unless otherwise agreed:
- Payments are due upon receipt.
- Late payments may be subject to interest charges or service suspension.
- All payments are non-refundable unless otherwise stated in writing.
6. Intellectual Property
Client Materials The client retains ownership of all content, trademarks, logos, and materials supplied to the Company.
Deliverables Upon full payment, ownership of final approved deliverables created specifically for the client will transfer to the client unless otherwise specified in a separate agreement.
Company Materials The Company retains ownership of its proprietary methodologies, tools, frameworks, templates, processes, source code libraries, know-how, and pre-existing intellectual property.
7. Acceptance of Deliverables
Unless otherwise stated in a separate written agreement, the client shall review deliverables promptly upon delivery. Deliverables will be deemed accepted unless the client provides written notice of any material non-conformity within seven (7) calendar days after delivery, describing the specific issues in reasonable detail.
If the client timely identifies a material issue, Agenticrew LLC will have a reasonable opportunity to correct or re-submit the affected deliverable. Minor issues, subjective preferences, or requests outside the agreed scope will not constitute grounds for rejection unless otherwise agreed in writing.
8. Portfolio Rights
Unless otherwise agreed in writing, the Company may display completed work, project descriptions, and client logos in its portfolio, website, marketing materials, and case studies.
9. Third-Party Services
Projects may involve third-party services, software, hosting providers, APIs, or platforms. The Company is not responsible for the performance, availability, security, pricing, or policies of third-party services.
10. Disclaimer of Warranties
Services and website content are provided "as is" and "as available."
The Company makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or uninterrupted operation.
11. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability arising from any claim related to the website or services shall not exceed the amount paid by the client for the specific services giving rise to the claim.
The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost business opportunities, or data loss.
12. Indemnification
You agree to indemnify and hold harmless the Company, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, and expenses arising from:
- Your use of our services.
- Materials you provide to us.
- Your violation of these Terms.
- Your violation of applicable laws or third-party rights.
13. Confidentiality
Both parties agree to protect confidential information disclosed during the course of a project and not disclose such information to third parties except as required by law.
14. Termination
Either party may terminate services according to the terms of any applicable project agreement.
Upon termination:
- All outstanding invoices become immediately due.
- The client shall pay for all work completed up to the termination date.
- Rights to deliverables may be withheld until payment is received in full.
15. Independent Contractor
Agenticrew LLC is an independent contractor and is not an employee, partner, joint venturer, or agent of the client. Nothing in these Terms or in any project engagement creates any partnership, joint venture, fiduciary, or employment relationship between the parties, and neither party has authority to bind the other except as expressly agreed in writing.
16. Website Use
You agree not to:
- Use the website for unlawful purposes.
- Attempt unauthorized access to systems or networks.
- Distribute malicious software.
- Interfere with the operation of the website.
17. Privacy
Your use of the website is also governed by our Privacy Policy.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.
19. Changes to These Terms
We may update these Terms at any time. Updated versions will be posted on this page with a revised effective date.
